CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

For The High-Stakes Reset™ Immersion & State Control™ Advisory
Between The Client and The FOCUS Consulting (Chennai & Bangalore)
Advisor: Santhosh Janardanan

1. Purpose of This Agreement

This Confidentiality and Non-Disclosure Agreement (“Agreement”) governs all private interactions, discussions, insights, materials, processes, and disclosures exchanged between:

The Client
and
The FOCUS Consulting, represented by Mr. Santhosh Janardanan,
Strategic Leadership Advisor (Confidential) and High-Stakes Reset™ Specialist.

The purpose of this Agreement is to create an environment of absolute trust, privacy, and psychological safety—conditions essential for the effectiveness of The High-Stakes Reset™ Immersion and State Control™ Advisory.

2. Scope of Confidentiality

Both parties acknowledge that the engagement involves:
Deeply personal disclosures
Subconscious-level reflections and psychological insights
Strategic, reputational, or commercially sensitive information
Behavioural patterns, internal conflicts, and private narratives
High-stakes decision contexts
Any documents, messages, voice notes, or advisory inputs shared before, during, or after the Immersion
All such information is considered “Confidential Information” under this Agreement.

3. Advisor’s Confidentiality Commitment

The Advisor shall:
Maintain absolute secrecy regarding all client details and engagement content.
Not disclose the client’s name, identity, organisation, role, or participation in the Immersion.
Not share or reuse any insights, stories, or material for training, marketing, research, social media, or third-party discussions—whether anonymized or otherwise—without explicit written consent.
Ensure that all digital and physical notes remain secured or are destroyed post-engagement, as per the Advisor’s confidentiality protocol.
Protect the client’s privacy even after the conclusion of the advisory relationship.
Confidentiality is central to the Advisor’s professional promise and forms the ethical foundation of this work.

4. Client’s Confidentiality Commitment

The Client agrees to maintain confidentiality regarding:
All proprietary methods, processes, tools, and frameworks used within The High-Stakes Reset™ Immersion or State Control™ Advisory.
Any unique psychological techniques or advisory methodologies demonstrated by the Advisor.
Any privileged or proprietary documents shared during the engagement.
Any recordings, session outlines, or intellectual property associated with The FOCUS Consulting.
The Client may not publish, share, or distribute any part of the process or IP without written consent.

5. Mutual Non-Disclosure

Neither party shall, without prior written consent:
Disclose any Confidential Information to external parties
Share involvement in the program publicly
Mention the engagement on digital platforms, media, interviews, or networks
Use the other party’s name or brand for endorsements or references
Exceptions apply only if mandated by law or regulatory requirement, and only after written notification to the other party.

6. Non-Recording Clause

To protect the psychological depth and confidentiality of the work, audio, video, and digital recording of any part of the Immersion or Advisory is strictly prohibited for both parties.

7. Intellectual Property Rights

All methodologies, frameworks, materials, assessments, and psychological tools used in The High-Stakes Reset™ Immersion and State Control™ Advisory remain the exclusive intellectual property of The FOCUS Consulting.
No part may be reproduced or adapted without written permission.

8. Advisory Relationship

This engagement is a private advisory relationship, not therapy, coaching, or clinical treatment.
The work focuses on psychological clarity, state reset, behavioural refinement, and high-stakes leadership alignment.

9. Duration of Confidentiality

The confidentiality obligations in this Agreement continue indefinitely, including after the conclusion of the advisory relationship.

10. Governing Law

This Agreement shall be governed by applicable laws of the land.
It is also structured to remain valid and enforceable internationally for global clients.

11. Acceptance

By signing below, both parties acknowledge that they have read, understood, and agreed to uphold the terms of this Agreement.
